Please read these Terms of Service (“Terms”) carefully before using the Pandia Pharmacy website, mobile-accessible services, or any other online services operated by Pandia Pharmacy Inc (“Pandia Pharmacy,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, technology platforms, and associated online services (collectively, the “Service”). Your access to and use of the Service is conditioned upon your acceptance of these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.

THIS AGREEMENT INCLUDES A MANDATORY ARBITRATION PROVISION REQUIRING YOU TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN THROUGH JURY TRIALS OR CLASS ACTIONS.

We may modify these Terms at any time. All changes take effect immediately upon posting. By continuing to access or use the Service after changes are posted, you agree to the updated Terms. Material revisions will be conspicuously posted or otherwise communicated to you.

Privacy Notice

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information. The Privacy Policy is incorporated into these Terms.

License

Provided you comply with these Terms, Pandia Pharmacy grants you a limited, nonexclusive, revocable, nontransferable license to access and use the Service for your personal, noncommercial purposes. These Terms remain in effect until terminated by either you or Pandia Pharmacy in accordance with these provisions.

Intellectual Property

All content, design, text, graphics, photos, interfaces, logos, trademarks, software, and other materials on or underlying the Service are owned by or licensed to Pandia Pharmacy and are protected by copyright, trademark, and other intellectual property laws. No rights are granted to you except as expressly stated.

You may not use any Pandia Pharmacy trademarks without our prior written permission. Unauthorized reproduction, distribution, modification, or creation of derivative works of any portion of the Service is strictly prohibited.

Compliance with Laws

You are responsible for complying with all applicable laws, regulations, and policies related to online conduct and your access to and use of the Service.

Restrictions on Use

You may download and print one copy of visible content from the Service for personal, noncommercial use, provided you do not remove or alter any proprietary notices.

You agree NOT to:

  • copy, reproduce, display, distribute, modify, translate, adapt, reverse-engineer, or create derivative works of the Service without prior written consent
  • use the Service for unlawful purposes
  • provide false, inaccurate, incomplete, or outdated information
  • commit fraud or attempt to interfere with the business operations or reputation of Pandia Pharmacy
  • engage in scraping, data mining, crawling, indexing, or use any automated tools to extract or retrieve data
  • upload or transmit viruses, malware, ransomware, spyware, or harmful code
    interfere with or disrupt the functionality of the Service
  • access or use the Service from outside the United States
  • attempt unauthorized access to any servers, systems, or networks associated with the Service

We reserve the right to refuse or terminate access to the Service at our sole discretion.

Purchases and Payment Information

If you purchase any products or services through the Service, you may be asked to provide payment and billing information such as your credit card number, expiration date, billing address, and shipping address.

If your payment method is invalid or declined, your purchase cannot be completed. Pandia Pharmacy is not liable for card refusals by your financial institution.

You represent that you are authorized to use any payment method you submit. We may use third-party payment processors to facilitate transactions. By submitting payment information, you authorize Pandia Pharmacy and these processors to process your payment in accordance with our Privacy Policy.

Refunds, if offered, are issued at the sole discretion of Pandia Pharmacy.

Accounts

To use certain features of the Service, you may be required to create an account and establish a username and password. By creating an account, you represent that you are at least 18 years old.

You are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account. You must notify us immediately at privacy@pandiapharmacy.com if you suspect unauthorized access.

Your account is personal to you and may not be transferred or shared with another person.

Account Suspension, Deactivation, and Termination

Pandia Pharmacy may suspend, deactivate, or terminate your account or access to the Service at any time and for any reason, including but not limited to:

  • violation of these Terms
  • fraudulent or abusive behavior
  • providing false information
  • engaging in unlawful conduct

If your account is terminated, you may not create another account without prior written consent.

You may request account termination by contacting us through your account’s messaging feature.

Product & Service Availability

Pricing and availability of products and services offered through the Service may change at any time without notice. Some products or services may not be available in all areas, or may have limited quantities. Substitution of generic equivalents may occur where permitted by law and by our dispensing practices.

SECTION 2 — SPECIAL TERMS

Special Terms for Apple iOS Devices

The following terms apply if you access the Service using the Your Local Pharmacy (powered by BestRx) mobile application obtained through the Apple App Store on an Apple iOS device (“iOS App”).

Acknowledgement.
You acknowledge that these Terms are an agreement between you and Pandia Pharmacy Inc, not Apple. Pandia Pharmacy, not Apple, is responsible for the iOS App and its content. You further agree that your use of the iOS App must comply with the App Store Terms of Service.

Scope of License.
You are granted a nontransferable license to use the iOS App on any Apple device you own or control, consistent with the “Usage Rules” in the App Store Terms of Service.

Maintenance and Support.
Pandia Pharmacy is responsible for providing any maintenance or support for the iOS App required under these Terms or applicable law.
Apple has no obligation to provide maintenance or support.

Warranty.
To the extent a warranty cannot legally be disclaimed, Pandia Pharmacy is solely responsible for such warranty. If the iOS App fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS App.
Apple will have no further warranty obligations regarding the iOS App.

Product Claims.
Pandia Pharmacy, not Apple, is responsible for addressing any claims from you or third parties relating to the iOS App or your possession or use of it, including but not limited to:

  • product liability claims
  • claims that the iOS App fails to conform to legal requirements
  • claims arising under consumer protection or similar laws

Intellectual Property Rights.
If a third party claims that the iOS App or your use of it infringes their intellectual property rights, Pandia Pharmacy is solely responsible for investigating, defending, settling, or satisfying such claims.

Third-Party Beneficiary.
You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS App and may enforce these Terms against you.

Special Terms for Android / Google Play Devices

The following terms apply if you access the Service using the Your Local Pharmacy (powered by BestRx) app from the Google Play Store (“Android App”).

Acknowledgement.
These Terms form an agreement between you and Pandia Pharmacy Inc, not Google. Pandia Pharmacy is responsible for the Android App and its content.

Scope of License.
You are granted a nontransferable license to install and use the Android App on devices you own or control, subject to the Google Play Terms of Service.

Maintenance and Support.
Pandia Pharmacy is responsible for providing any required maintenance or support for the Android App.
Google has no obligation to provide support.

Warranty.
Google provides the Android App “as is” to the maximum extent permitted by law. Any warranty obligations not disclaimed are solely Pandia Pharmacy’s responsibility.

Product Claims.
Pandia Pharmacy, not Google, is responsible for addressing claims related to the Android App or your possession or use of it, including claims:

  • of product liability
  • that the Android App fails to meet legal or regulatory requirements
  • arising under consumer protection or similar laws

Intellectual Property Rights.
Pandia Pharmacy is responsible for responding to any third-party intellectual property claims relating to the Android App.

Third-Party Beneficiary.
Google and its affiliates are third-party beneficiaries of these Terms as they relate to the Android App and may enforce the applicable provisions.

BestRx Technology Addendum

(Applies to all users of the Pandia Pharmacy Service via the BestRx-powered platform)

Pandia Pharmacy provides certain features of the Service through technology licensed from BestRx, accessed through the Your Local Pharmacy (powered by BestRx) application and systems.

Technology Platform.
BestRx provides the underlying pharmacy management and mobile application framework used by Pandia Pharmacy to enable prescription processing, notifications, medication history access, patient messaging, and related pharmacy services.

Pandia Pharmacy Responsibility.
Pandia Pharmacy is responsible for:

  • all clinical, operational, and pharmacy services delivered through the platform
  • all content displayed through the Pandia Pharmacy profile within the BestRx system
  • providing customer support related to prescriptions, refills, transfers, and pharmacy operations
  • ensuring compliance with HIPAA, state pharmacy regulations, and applicable laws

BestRx Responsibility.
BestRx provides:

  • the licensed mobile application framework
  • certain technical infrastructure
  • software maintenance and security patches
  • operational support related to the functioning of the app platform

BestRx does not provide:

  • pharmacy services
  • clinical judgment
  • medical advice
  • prescription decisions
  • direct communication with patients on behalf of Pandia Pharmacy

Updates and Upgrades.
BestRx may deploy updates to the mobile application or platform. Pandia Pharmacy will provide notice to users when required by law or when updates materially affect Service functionality.

Disclaimers.
Use of the BestRx platform does not alter or limit Pandia Pharmacy’s obligations or responsibilities to you as a licensed pharmacy.
Pandia Pharmacy remains the responsible pharmacy entity for dispensing and delivering medications to you.

SECTION 3 — LEGAL NOTICES

No Warranty

The Service is provided on an “as is,” “as available” basis without warranties of any kind, express or implied. Pandia Pharmacy does not guarantee:

  • uninterrupted or error-free operation
  • that defects will be corrected
  • that the Service or servers are free of viruses or harmful components
  • the accuracy, completeness, or timeliness of any information provided through the Service

To the fullest extent permitted by law, Pandia Pharmacy disclaims all warranties, including but not limited to:

  • implied warranties of merchantability
  • fitness for a particular purpose
  • non-infringement
  • warranties arising from course of dealing or usage

Pandia Pharmacy is not responsible for delays, failures, or interruptions caused by factors outside its control, including network issues, third-party systems, or technical malfunctions.

No oral or written information obtained from Pandia Pharmacy or through the Service creates any warranty not expressly stated in these Terms.

Limitation of Liability

To the maximum extent allowed by law, Pandia Pharmacy and its directors, officers, employees, contractors, representatives, suppliers, and licensors (“Pandia Parties”) are not liable for:

  • indirect, incidental, special, consequential, exemplary, or punitive damages
  • damages related to loss of data, profits, goodwill, or business opportunities
  • damages arising from your access to, use of, or inability to use the Service
  • damages arising from unauthorized access to your data

Your sole and exclusive remedy for dissatisfaction with the Service is to stop using the Service.

In no event will the total liability of the Pandia Parties exceed $100.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless the Pandia Parties from all claims, actions, damages, losses, liabilities, judgments, fines, penalties, costs, and expenses (including attorneys’ fees) arising out of:

  • your use of the Service
  • any information or content you submit
  • your violation of these Terms
  • your violation of any applicable law
  • your interaction with BestRx-related functionality within the Service

Pandia Pharmacy reserves the right to assume the exclusive defense of any matter otherwise requiring indemnification.

Links to Third-Party Websites

The Service may contain links to third-party websites or services not owned or controlled by Pandia Pharmacy. We are not responsible for:

  • their content, privacy practices, or policies
  • their accuracy or reliability
  • damages arising from your use of or reliance on them

You should review the terms and privacy policies of any third-party sites you visit.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Your use of the Service constitutes your agreement to this governing law.

Arbitration Agreement

Any dispute or claim arising out of or relating to these Terms or the Service must be resolved by binding arbitration on an individual basis.

Process:

  1. The complaining party must notify the other party in writing.
  2. The parties will meet within 30 days to attempt informal resolution.
  3. If unresolved, the dispute will be submitted to arbitration before JAMS Mediation, Arbitration and ADR Services.
  4. The arbitration will be conducted by a single arbitrator.
  5. The arbitrator’s decision is final and binding.

No Class Arbitrations, Class Actions, or Representative Actions.
You agree that:

  • disputes will be arbitrated only on an individual basis
  • class actions, representative actions, and consolidated actions are not permitted

If a dispute proceeds in court rather than arbitration, both parties waive their right to a jury trial.

General Provisions

Assignment.
Pandia Pharmacy may assign its rights and obligations under these Terms without notice. You may not assign your rights without written consent.

Entire Agreement.
These Terms and the incorporated Privacy Policy constitute the entire agreement between you and Pandia Pharmacy regarding the Service.

No Waiver.
Failure to enforce any provision does not constitute a waiver of future enforcement.

Severability.
If any provision is found invalid or unenforceable, the remaining provisions remain in full force.

Force Majeure.
Pandia Pharmacy is not liable for delays or failures caused by events outside its reasonable control, including natural disasters, power outages, internet failures, and acts of government.

Electronic Communications.
You consent to receiving all documents, notices, and communications electronically to the extent permitted by law.
